This is one of the clauses in a business finder agreement
It seems to be simply saying something like simply "unpredictability" or "uncertainty" but "régime" seems odd here as it implies something that is covered by rules or legislation.

Am I missing something?


Chacune des Parties déclare, compte tenu de la période de négociations ayant précédé la conclusion de la présente convention, qui lui a permis de s'engager en toute connaissance de cause, renoncer expressément à se prévaloir des dispositions de l'article 1195 du Code civil et du régime de l'imprévision qui y est prévu, s'engageant à assumer ses obligations même si l'équilibre contractuel se trouve bouleversé par des circonstances qui étaient imprévisibles lors de la conclusion du contrat, quand bien même leur exécution s'avérerait excessivement onéreuse et à en supporter toutes les conséquences économiques et financières.

Many thanks everyone So the Civil Code micromanages contracts. So different to the Common Law approach based on commonsense and the man on the Clapham Omnibus! Peter, if you care to post "rules concerning unforeseen circumstances" as an answer I will gladly give you the points and close the question after 24 hours.

Article 1195 of the Civil Code states that “If a change in circumstances, unforeseeable at the time of conclusion of the contract, makes performance excessively onerous for a party who had not agreed to bear the risk, that party may request the other party to renegotiate the contract. It shall continue to perform its obligations during the renegotiation. If the renegotiation is rejected or fails, the parties may agree to terminate the contract, on the date and on the conditions they determine, or may request the court to adapt it by mutual agreement. If no agreement is reached within a reasonable time, the court may, at the request of one of the parties, revise or terminate the contract, on the date and under the conditions it shall determine.”

These provisions constitute a set of rules that govern the handling of unforeseen circumstances in a contractual relationship, hence the use of the word "régime".

Régime simply means the rules governing unforeseeable changes of circumstances set out in Article 1195 of the Civil Code, I don't see anything odd about it. y in the phrase qui y est prévu means "in Article 1195".

Force Majeure I would suggest Force majeure as it is something which could not be taken into account at the time of signing the contract.
Unforeseeability refers to the situation in which a contract is unbalanced by a change in circumstances which could not have been foreseen at the time of its conclusion, and the party who is the victim of this can ask his co-contractor to renegotiate the contract.

agree Conor McAuley : Andrew is right to refer to force majeure, but force majeure covers more: events that are "unforeseeable", "uncontrollable", and "make performance of obligations impossible". So Agree, but I would use the word "provisions" and not "rules". / True, sorry!

contingency arrangement

A token alternative translation and extrapolated from the (my) stock FRE/ENG accounts translation of 'contingency' for 'imprévision' and les 'imprévus'.

I had been aware that régime means a set of strict rules, rather a system, scheme or impromptu arrangement, even though art. 1195 does refer to 'un changement de circonstances imprévisible...'
