Καλημέρα! Μεταφράζω μια σύμβαση βασισμένη στο αγγλικό δίκαιο και συνάντησα αυτή τη φράση. Παραθέτω ολόκληρη τη φράση. Δεν μου έχει ξανατύχει να συναντήσω το ρήμα charge να συνδέεται με τη λέξη agreement και δεν έχω βρει κάτι σχετικό μέχρι στιγμής στο ιντερνετ. Σκέφτηκα μήπως απλά εννοεί απλά ότι δεν δύναται να ανατεθούν οι υποχρεώσεις της σύμβασης σε κάποιον αλλά θα ήθελα και άλλες γνώμες, αν είναι δυνατόν.

This agreement is not capable of being assigned or charged or otherwise transferred in whole or in part, without the prior written consent of the other party, and any purported assignment, charge or transfer without such consent is void.

This is an agreement that mainly defines the investment manager's powers, remuneration, conflicts of interest between the parties etc. It is a typical agreement, very well written, as far as I can say. Indeed, the part "the agreement is not capable of" sounds a bit weird, but other than that I see no other instance of bad English.

I suspect this is a back-translation from Greek, with 'δύναται/είναι ικανό να', BUT something which is 'capable' does not imply affirmative action. It may do or it may not. It is capable of either. It may be correct in Greek to say 'δύναται/είναι ικανό να', but ΝΟΤ in English, which would say 'is NOT to be assigned, or charged or....' meaning definitely NOT.

Transphy is absolutely right! Transphy is absolutely right! In this case, "charged" doesn't refer to a cost nor to an expense nor to a mere tarnsfer either, but to a pledge or a security. Please, have a look at the reference posted below. Καλά Χριστούγεννα σέ ὅλους !

They don't have to be Bank loans. In your case, you have two Financial Instruments between two Funds! One Fund 'takes charge' of a larger Financial instrument in exchange for a lesser valued Instrument for a certain time, as a collateral security for 'giving' the Instrument to the other Fund. These are temporary arrangements.
I give you something to which you give me a different thing of larger value as security, in case you don't give me my thing back. Then I can sell yours to get mine back!!! Simple transactions done all the time, between 'haves' and 'have nots'!!!

@transphy: I agree with your objection on the "capable of being" phrase. I should have added more context here: this agreement was signed between two companies one of which will act as the Investment Manager of the other company (in mutual funds context). So far, I have not seen any connection with bank loans.

In my mind, the phrase 'capable of being ' should NOT have been used, here. The normal phraseology in English contracts is 'is not TO be assigned or charged to...'.
If one needs a loan from a Bank, to buy something of value, say a lease on a property, the bank will lend the money AGAINST the security of the lease as collateral. The taker 'signs over' or assigns=transfers ownership of the lease to the Bank, which takes 'charge'= custody=ownership of the lease, until such time that the taker pays the money(with interest+expenses) borrowed from and to the Bank, which then 'releases the charge' to the taker. The 'charge' by the Bank is a security to the Bank that in case the taker defaults the Bank can sell that security to recover their money. So, 'charge' is meant to be **ενέχυρο του δανεισμού**

Το charge εδώ έχει την έννοια του "φορτώνω σε κάποιον (τη σύμβαση)", δηλ impose.
