Neither Party shall sell, transfer, assign, pledge or otherwise dispose of all or any part of its interests in the Consortium, this Memorandum, or the Contract without the consent of the other Party, provided that in the case of any such proposed sale, transfer, assignment, pledge or other disposal by either Party to an Affiliate or where adequate expertise of the assignee is proven (in the opinion of such other Party), such consent shall not be unreasonably withheld, where the assigning Party provides to the other Party adequate security in respect of the future obligations to be assigned.
