Ich übersetze die Satzung einer GmbH nach luxemburgischem Recht.
Im Artikel mit der Überschrift "Management Strip Stake" heißt es:
"The aggregate nominal amount of the Shares comprised in the Management Strip shall not exceed in aggregate 10% of the share capital of the Company. All the Class B Shares acquired by Management KG shall be comprised in the Management Strip and shall constitute "Management Shares" for the purposes of the present Articles. All PECs B issued by the Company and acquired by Management KG shall be comprised in the Management Strip and shall constitute "Management PECs" for the purposes of the present Articles. The Management Shares and Management PECs (if any) and each interest in Management KG (including the liability amount and the limited partnership interest and all rights to capital or other accounts) held by a Manager, any Approved Family Member or an Investment Vehicle shall be deemed to be a "Management Strip Stake" in the meaning of the present Articles.
19.2 All Managers shall tagether hold their indirect participations in Management Strip through Management KG. "
