It's receiving something, presumably shares of another company. From a quick search, I think special purpose company might work for you. Depending on the context, simply "the receiving company" may work.

一般的なスキームは、次のようになる。まず買収側(ファンドなど)が出資して受け皿会社を設立する。この受け皿会社が金融機関から融資を受けるか、社債(ジャンク債)を発行して買収資金を調達する。受け皿会社はこの資金で対象企業を買収し、その企業と合併して新会社を発足する(営業譲渡の場合もある)。新会社が受け皿会社から継承した負債は、買収対象企業から継承した事業の利益(キャッシュフロー)、もしくは資産売却の代金によって返済される。

: Maybe sometimes, but generaly not. Your reference is talking about leveraged buyouts, in which case the 受皿会社 would definitely be a SPV (special purpose vehicle). 'Holding companies' are usually for existing groups of companies, and these would not be 受皿.
