Italian to English Bus/Financial Business/Commerce (general) ARTICLES OF ASSOCIATION
It's part of a list of powers granted to the chairman of the board of directors.
Can it mean that the chairman of the BoD shall act as secretary to the board?? that doesn't seem very likely!
Any help gratefully received :)

I do agree with Phil's comments but it says "segreteria" not "segretaria" - and it says "cura" rather than "nomina". If they mean s/he can appoint the secretary to the board I would have expected it to say something like "nomina il Segretario del Consiglio"
The Italian is not really clear.
Another option would be "he/she is in charge of the Secretaryship to the Board".

Technically it does not say he actually "acts as secretary" but that he makes arrangements for/oversees secretarial services to the board. Presumably this means he can appoint a secretary and/or administrative staff for the board as and when required.
This is my understanding but cannot think of a snappier way to put it at present.

appoints the secretary to the board

I don't think it's totally clear in the Italian, and I agree it's unlikely that the chief executive would also act as secretary. However, the secretary of the board of directors has a very specific role within the company, and I don't feel Linda's answer does justice to this.
