Stratégia obstarávania nebola dostatočne efektívna, lebo umožnila pri výbere pracovníkmi ZZZ vybrať aj spoločnosť, ktorá doposiaľ nedokázala prakticky zabezpečiť povinné resp. základné funkčnosti. V priebehu obstarávania bolo postačujúcou podmienkou povinné funkčnosti len deklarovať a nie preukázať schopnosť zabezpečenia ich realizácie. Prepojenie s existujúcimi informačnými systémami malo byť jednou zo základných podmienok súťaže. The procurement strategy was not sufficiently effective, since it allowed ZZZ staff to select a company which has not to date demonstrated practical implementation of required or basic functionality. During the procurement, sufficient qualification of essential functionality was merely declared, and demonstrated ability to ensure its implementation was not shown. Interconnection with existing information systems should have been one of the basic requirements of the tender. If functionality was not the main success criterion for the tender then it is necessary to analyze why, in detail. |

Článok 17 Vyššia moc
Odstavec 17.1. Zhotoviteľ nie je vystavený zmluvným pokutám, náhrade škody, alebo odstúpeniu od Zmluvy, ak jeho omeškané plnenie alebo iné neplnenie záväzkov podľa Zmluvy je výsledkom prípadu vyššej moci. Pokiaľ táto vyššia moc netrvá dlhšie než tri mesiace, predlžuje sa plnenie záväzkov o dobu trvania tejto vyššej moci.
V prípade trvania vyššej moci viac než 3 mesiace, je nutné riešiť vzniknutú situáciu vzájomnou dohodou medzi Zhotoviteľom a Objednávateľom.
Odstavec 17.2. Za okolností vyššej moci sú považované mimoriadne okolnosti, ktoré nastali nezávisle od vôle zmluvných strán a bráni im dočasne alebo trvale v plnení Zmluvou stanovených povinností a tieto okolnosti nastali po uzavretí Zmluvy a nemohli byť povinnou Zmluvnou stranou odvrátené alebo prekonané a v dobe uzavretia Zmluvy nemohli byť predvídané. Za okolnosti vyššej moci budú považované napríklad živelné pohromy, prírodné katastrofy, vojna, všeobecná mobilizácia, občianska vojna alebo generálny štrajk.
Odstavec 17.3. Ak nastane situácia vyššej moci, upozorní Zhotoviteľ neodkladne objednávateľa o takom stave , jeho príčine a jeho ukončení. Zhotoviteľ musí hľadať všetky dostupné alternatívne prostriedky pre plnenia Zmluvy, ktorému nebránia udalosti vyššej moci.

Article 17 Acts of God
Section 17.1 The Manufacturer is not subject to contractual penalty, compensatory damages or withdrawal from the Contract if its late performance or other failure of performance of obligations under the Contract results from an Act of God. So long as such Act of God does not persist longer than three months, the period for fulfilment of the contractual obligations shall be extended by the duration of this Act of God.
In the event such Act of God persists longer than 3 months, it is necessary to resolve the emergent situation via mutual agreement between the Manufacturer and the Buyer.
Section 17.2 Act(s) of God are considered exceptional circumstances which occur independent of the will of the contracting parties and impede them temporarily or permanently in the fulfilment of their contractually-established obligations, and those circumstances which arose after the execution of the Contract and could not be the responsibility of the Contracting Party to avert or surmount, and which, during the period of conclusion of the Contract, could not have been foreseen. Acts of God might include, for example, spontaneous disasters, natural catastrophes, war, general conscription, civil war or general strike.
Section 17.3 If an Act of God situation occurs, the Manufacturer shall alert the Buyer without delay about such state, its causes and its cessation. The Manufacturer must seek all available alternative resources for the fulfilment of the Contract not impeded by the occurrence of the Act of God.

Všetci riadiaci pracovníci vyžadujú od svojich podriadených a dozerajú na to, aby vykonávali prácu v zhode so všetkými dokumentmi týkajúcimi sa riadenia informačnej bezpečnosti ZZZ.
Všetci zamestnanci podporujú skvalitňovanie bezpečnostných opatrení a pomáhajú pri vytváraní, prevádzke a údržbe bezpečného informačného a technického prostredia ZZZ.

All management employees shall demand that their direct reports conduct their work in accordance with all documents pertinent to ZZZ information security management, and supervise them such that this is carried out.
All employees shall contribute to and support quality improvements to security measures, and assist in the formation, operation and maintenance of ZZZ’s secure information and technical environment.
ZZZ reserves the right to review whatever information is stored, transferred or processed on its computer and telecommunications systems and related memory media, to evaluate the utilization of its information processing resources from the perspective of appropriateness and practicable use in the conduct of business, to deny or cancel the access of any individual, or to undertake disciplinary measures to ensure the effective enforcement of this strategy.

6.3 Recommended methods for cleanup and disposal.
Secure the greater portion in containers. Sprinkle the remainder with available absorbents (sawdust, diatomaceous earth, sand) and dispose of in the prescribed manner.

7.4 Ak sa stane niektoré ustanovenie celkom alebo z časti neplatným alebo nezákonným alebo neuplatniteľným, nemá táto skutočnosť vplyv na platnosť a uplatniteľnosť zostávajúcej časti Zmluvy. 7.4 Should any provision of this Agreement be found, in whole or in part, inapplicable or unlawful, such finding shall not have effect upon the applicability and enforceability of the remaining portions of the Agreement. In such case, as well as in case of the inapplicability, unlawfulness or unenforceability of the entire Agreement, the Contracting Parties shall undertake to substitute the offending provisions with new provisions which in their greatest measure conform with the purpose of the observed offending provisions.

UBYTOVACÍ PORIADOK
1. Hotel môže ubytovať iba hosťa, ktorého riadne prihlásil. Za tým účelom predloží príslušnému pracovníkovi hotela ihneď po príchode svoj občiansky preukaz, cestovný pas, alebo iný platný doklad totožnosti. Hotel vydá ihneď pri nástupe ubytovací preukaz, na ktorom bude uvedený názov hotela, meno hosťa, číslo izby, cena za jednodenné ubytovanie, dĺžka pobytu a čas na uvoľnenie izby v posledný deň pobytu.
2. Pri opakovanom príchode do hotela je hosť povinný preukázať sa platným preukazom hotela.
3. Hotel môže vo výnimočných prípadoch ponúknuť hosťovi iné, než bolo dohodnuté ubytovanie, pokiaľ sa podstatne nelíši od potvrdenej objednávky.
4. Hosť je povinný zložiť depozit prostredníctvom kreditnej karty alebo v hotovosti vo výške 120 % z ceny ubytovania.
5. Na základe objednaného ubytovania je hotel povinný ubytovať hosťa najneskôr do 18. hodiny, do toho istého času izbu hosťa rezervuje, ak nie je v objednávke uvedené inak.
6. Ak hosť požiada o predĺženie ubytovania, môže mu hotel ponúknuť aj inú izbu, než tú, v ktorej bol pôvodne ubytovaný. | Translation - English
ACCOMMODATION RULES
1. The hotel can only accommodate those guests who properly register. To this end, please present your national ID card, passport or other valid identity document to our staff immediately upon arrival. The hotel will issue an accommodation card showing the hotel’s name, guest’s name, room number, daily price of the accommodation, length of stay and check-out time for the day following the stay.
2. For repeated entry to the hotel, the guest is required to show a valid accommodation card.
3. The hotel may, in exceptional cases, offer accommodation to the guest other than that which was agreed, so long as it does not differ substantially from the confirmed booking.
4. The guest is required to make a deposit by credit card or in cash in the amount of 120% of the price of accommodation.
5. The hotel is required to accommodate the guest in booked accommodations until 6 PM at the latest, until the time the guest has reserved it, if not indicated otherwise in the booking.
6. If the guest requests to extend the stay, the hotel may offer a different room than the one in which the guest was originally accommodated.

YYY a ZZZ sú zaviazané dodávať autorizovanému dealerovi ním objednané vozidlá za účelom plnenia kúpnych zmlúv medzi autorizovaným dealerom a konečným spotrebiteľom (zákazníkom).
Autorizovaný dealer je zaviazaný vynaložiť úsilie k predaju zmluvného tovaru v množstve dohodnutom pre jednotlivé roky. Ak autorizovaný dealer zistí, že pravdepodobne nesplní záväzok predať minimálne ročné množstvo, oznámi uvedené ZZZ. ZZZ môže požadovať a odporučiť, aby autorizovaný dealer prijal rozumné opatrenia k zlepšeniu svojej činnosti. Autorizovaný dealer takto môže od XXX získať rady pre zlepšenie predaja.
Autorizovaný dealer odoberá zmluvný tovar od YYY a ZZZ na základe jednotlivých objednávok, ktoré urobil prostredníctvom elektronického objednávkového systému.
Dealer prostredníctvom elektronického objednávkového systému objednáva požadované vozidlá u YYY. Kúpna zmluva medzi YYY a autorizovaným dealerom vzniká potvrdením objednávky alebo priamo dodaním objednaného tovaru. YYY objednávku spracuje, vystaví na dané auto pro forma faktúru a po jej uhradení autorizovaným dealerom dá pokyn colnému skladu kde sa vozidlo nachádza aby vybavil všetky potrebné náležitosti a auto dodal jednotlivým autorizovaným dealerom. V cene motorových vozidiel sú zahrnuté náklady na poistenie a dopravu na miesto určenia.

YYY and ZZZ are obligated to supply the authorized dealer with the vehicles it orders, in fulfillment of purchase agreements between the authorized dealer and the final user (the customer).
The authorized dealer is obligated to expend effort toward the sale of contracted goods in stipulated quantities each year. If an authorized dealer discovers that it probably cannot fulfill its responsibility to sell its minimum annual quota, it is required to inform ZZZ. ZZZ may then demand and direct that the authorized dealer take reasonable measures to increase its sales activity. The authorized dealer may thus receive advice from XXX on how to increase its sales.
The authorized dealer takes delivery of goods from YYY and ZZZ pursuant to individual orders, which are made by means of an electronic ordering system.
Through the electronic ordering system, the dealer orders the required vehicles from YYY. The purchase agreement between YYY and the authorized dealer arises through confirmed orders or directly upon delivery of the ordered goods. YYY processes an order, issues a pro-forma invoice for the specific vehicle, and, after its payment by the authorized dealer, issues a directive to the customs warehouse where the vehicle is stored so that all necessary duties can be satisfied, and the automobile delivered to the particular authorized dealer. Freight charges, insurance, and transport to the required location are included in the prices of the motor vehicles.
