REUNIDOS
De una parte, la sociedad xxxx S.L., inscrita en el Registro Mercantil bajo el número B-xxx, con domicilio en la ciudad Atarfe, país España, en la calle xxxx, C/ Principal S/N, representada por Don xxxx LÓPEZ en calidad de gerente con DNI xxxx-J, de ahora en adelante el MANDANTE.
Y de otra parte D. xxxx con N.I.F.: xxxxx2-B, con domicilio en Avda. de xxxx nº 66, Portal 4, Puerta 2H, CPxxxxx (Jaen) de ahora en adelante el AGENTE.
MANIFIESTAN
Siendo ambas partes totalmente independientes entre sí, ninguna de las cláusulas del presente contrato puede interpretarse como si hubiera una relación laboral. Este contrato es de carácter mercantil y en lo no establecido en el mismo se estará a lo dispuesto en la Ley 12/1992 de 27 de Mayo (Ley de Contrato de Agencia). Con el fin de regular el citado contrato, las partes se someten a las siguientes:
CLÁUSULAS
TERRITORIO
El AGENTE acepta constituirse en un representante en España con la marca xxxx en la zona de levante (Alicante, Murcia, Valencia, Castellón, Albacete) de los productos fabricados por el MANDANTE y relacionados en Anexo I, el cual acepta ser representado en el referido territorio por el AGENTE.
Las ventas realizadas directamente por la empresa a sus tiendas propias o franquicias serán excluidas de la actividad del agente.
PRODUCTOS
1. Los productos que serán objeto de representación por parte del AGENTE, son los relacionados en Anexo I.
Cualquier nuevo producto del MANDANTE o modificación de los productos relacionados, no están incluidos como objeto de contrato, por lo que será necesaria una autorización previa por escrito del MANDANTE en 1 mes desde la solicitud por escrito del AGENTE.

STATEMENT
Both parties are completely independent of each other, none of the clauses of this contract can be interpreted as a employment relationship.
This contract is of commercial nature and classified under the Law 12/1992 dated of May 27 (Law of Contract Agency). In order to regulate this contract, the parties are subject to the following:
CLAUSES
AREA OF REPRESENTATION
The AGENT agrees to be the representative of the brand xxxxxx in Spain, in the Eastern regions (Alicante, Murcia, Valencia and Castellón, Albacete) of products manufactured by the CLIENT and listed in Annex I, the latter accepts to be represented in the referred area by the AGENT.
Direct sales performed by the company to their own stores or franchises will be excluded from the activity of the agent.
PRODUCTS
1. The products that will be represented by the AGENT, are listed in Annex I.
Any new product released by the CLIENT or modifications regarding the related products, are not included in the terms of this contract, requiring a prior written approval by the CLIENT in a dated period of 1 month after the AGENT’s written request.

A 10 kilómetros de Las Palmas de Gran Canaria se halla el más perfecto ejemplar de "caldera" existente en Canarias: la Caldera de Bandama. Se trata de una caldera de origen reciente de 1.000 metros de diámetro y 170 metros de profundidad, en cuyo fondo se sitúa una pequeña explotación agrícola.
En el Pico Bandama, al borde del cráter y con 574 metros de altitud, hay un bar y un mirador. Desde este enclave estratégico situado sobre un macizo volcánico de basaltos y picón, se divisa una maravillosa panorámica de los cuatro puntos cardinales de la isla de Gran Canaria, su costa norte y este, y su centro montañoso al oeste. En un día claro se puede ver, al noreste, la vecina isla de Fuerteventura. La Caldera y el Pico forman el Monumento Natural de Bandama.
Por su magnitud y espectacularidad, el Monumento Natural de Bandama es el complejo volcánico más interesante del ciclo volcánico reciente en Gran Canaria, surgiendo durante la época Holoceno, hace unos 5.000 años. El Pico es un cono de cínder de 574 metros de altura, con cráter en herradura abierto al Noroeste. Emitió gran cantidad de materiales, originando junto con el cercano volcán del Monte Lentiscal, contemporáneo suyo, el mayor campo de picones de la isla, utilizado desde el siglo XVIII para el cultivo de la vid.
En la cima existe una pequeña construcción, obra de los hermanos Néstor y Miguel Martín Fernández de la Torre del año 1943, desde donde se aprecia el "magnetismo de esta isla abierta al Atlántico y al universo", como reconociera el insigne artista lanzaroteño Cesar Manrique, al contemplar el marco incomparable de La Caldera de Bandama.
Esta Caldera es una enorme depresión semielíptica de unos 170 metros de profundidad, con un diámetro en sus bordes de unos 1.000 metros y un perímetro de 3 kilómetros. Su exposición a barlovento y su altitud media explican que frecuentemente se encuentre cubierta de nubes.
El nombre del cráter deriva de un comerciante holandés, Daniel Van Dame, que en el siglo XVI cosechó viñedos en el fondo del mismo, donde ahora hay una granja abandonada y los restos de unas terrazas. Esta tradición vitícola se mantiene en el entorno, como denotan los numerosos lagares existentes, algunos de ellos del siglo XVIII, cuando el cultivo de la vid se generalizó en toda la comarca.

A large quantity of material was released into the strata originating the largest area of cinder cones on the island, used since the eighteenth century for the cultivation of grapevines, and in like manner the neighbouring volcán del Monte Lentiscal ,also existent at the same time, was created.
There is a small construction at the apex which was designed by the brothers Néstor and Miguel Martín Fernández de la Torre in 1943, from this spot, the “magnetism of the island uncloses to the Atlantic and the universe”, in the words of the well known artist and native of Lanzarote, Cesar Manrique while he contemplated the unmatched scenario of La Caldera de Bandama.
This Caldera is a huge semi-elliptic depression with an estimated depth of 170 metres, a diametre of circa 1000 metre at the edges and a perimetre of 3 kilometres. Its windward exposure united with its average height provides an accurate explanation as to why there is always a clouded roof.
The name of the crater was given as an homage to the Dutch businessman, Daniel Van Dame, who harvested vineyards at its underside during the XVI century, where at present, there is an abandoned farmhouse and vestiges of some terraces. The vineyard tradition is still present in the environment as evidenced from the already existent wineries, some of which ages from the eighteenth century, a period of an extensive cultivation of wine across the region.

I was born in England, grew up in England and after lived in Brazil for many years where I also studied and later on I graduated in Business Administration in USA. I am a native English and Portuguese speaker with 9 years of experience in translation. Spanish is also one of my strong languages.
