Аннотация: Принудительная ликвидация общества с ограниченной ответственностью выступает своего рода наказанием за осуществление действий, приводящих к нарушению законодательства. Статистические данные о количестве ликвидированных обществ с ограниченной ответственностью показывают неуклонный рост, что подтверждает наличие проблемы и обуславливает актуальность темы. В данной статье раскрывается понятие общества с ограниченной ответственностью, понятие ликвидации, рассмотрены основания для начала процедуры принудительной ликвидации, указаны уполномоченные органы, которые вправе подать иск в суд, проанализирован порядок проведения принудительной ликвидации общества с ограниченной ответственностью.

Общество несет ответственность по своим обязательствам всем принадлежащим ему имуществом, но не отвечает по обязательствам своих участников [1].
В соответствие с п. 1 ст. 57 Федерального закона «Об обществах с ограниченной ответственностью» общество может быть ликвидировано добровольно в порядке, установленном Гражданским кодексом Российской Федерации, с учётом требований вышеупомянутого Федерального закона, а также устава общества. Общество с ограниченной ответственностью может быть ликвидировано также по решению суда по основаниям, которые предусмотрены Гражданским кодексом Российской Федерации.
Термин «ликвидация» происходит от латинского слова liquidation, что значит «окончание дела».
Большой толковый словарь современного русского языка Д.Н. Ушакова дает двоякую трактовку содержания понятия: как «прекращение деятельности какого-нибудь предприятия, учреждения и т.д.» и как «уничтожение, прекращение существования кого-чего-нибудь» [2, с. 2].
Ликвидация юридического лица влечет прекращение его функционирования без перехода в порядке универсального правопреемства его прав и обязанностей к другим лицам [3].
Принудительная ликвидация общества с ограниченной ответственностью может осуществляться по решению судаи по иску государственного органа или органа местного самоуправления, которым законом предоставлено право на предъявление требования о ликвидации общества[4].
Основаниями для начала процедуры принудительной ликвидации могут быть:
- признание государственной регистрации общества с ограниченной ответственностью недействительной (государственная регистрация общества признается недействительной в случаях, если при его создании выявлены грубые нарушения закона, устранение которых невозможно). Анализ судебной практики показывает, что большинство споров связано с тем, что юридические лица не находятся и не осуществляют деятельность по заявленному местонахождению постоянно действующего исполнительного органа юридического лица. Данное нарушение, по мнению налоговых органов, является грубым нарушением законодательства, влекущим принудительную ликвидацию. Однако по абсолютному большинству дел арбитражные суды не поддерживают заявленные требования, отказывая в исках [2, с. 25];
- деятельность без соответствующей лицензии (виды деятельности, подлежащие лицензированию,содержатся в Федеральном законе №128-ФЗ «О лицензировании отдельных видов деятельности»);
- общество не является членом саморегулируемой организации (если такое членство предусмотрено законом) или не имеет необходимого свидетельства о допуске к определенному виду работ, выдающегося саморегулируемой организацией;
-осуществление законодательно запрещённой деятельности, либо деятельность с нарушением закона;
- систематическое осуществление обществом деятельности, противоречащей уставным целям таких организаций;
- нарушение руководителем общества исключительных прав третьих лиц на результат интеллектуальной деятельности;
- судебное решение о признании общества с ограниченной ответственностью банкротом;
- необходимая отчётная документация не предоставляется юридическим лицом в налоговые органы, а также отсутствуют операции на банковских счетах в течение 12 месяцев, предшествующих моменту инициирования Федеральную налоговую службу(ФНС) процедуры упразднения компании;
- ряд иных оснований.
С иском в суд могут обратиться Центральный Банк Российской Федерации, Антимонопольная служба, прокуратура, Налоговая служба Российской Федерации, Министерство внутренних дел, орган страхового надзора, представители исполнительной власти, а также учредители [3].
Судебные споры о ликвидации между учредителями возникают, как правило, при наличии затяжного корпоративного конфликта, когда принудительная ликвидация инициируется одним из участников, так как добровольная ликвидация является невозможной. [5].
Центральный Банк может обратиться в суд при выявлении осуществляемых обществом нелицензированных банковских операций.
Антимонопольная служба вправеинициировать судебное разбирательство при обнаружении факторов, которые бы указывали на ограничение свободной конкуренции со стороны общества. В соответствии с п. 1, ст. 23 Федерального закона №135-ФЗ «О защите конкуренции» Антимонопольный орган наделен полномочиямивозбуждать и рассматривать дела о нарушениях антимонопольного законодательства [6].
Прокурор обращается с заявлением в суд при выявлении нарушения прав и интересов граждан. Органы прокуратуры могут вступить в судебное разбирательство на любом его этапе, если необходимо защитить права и интересы граждан, нарушаемые деятельностью общества.
Обращение в суд учредителя или акционера возможно в любой момент деятельности общества, однако для удовлетворения требования о ликвидации общества заявитель должен доказать, что иные способы решения сложившейся ситуации исчерпаны, а действия других учредителей несут отрицательные последствия для организации.
В случае выявления налоговых нарушений, которые общество допускает в своей деятельности, в суд может обратиться Налоговая служба Российской Федерации. Примером таких нарушений может быть непредставление обществом финансовой отчетности, осуществление деятельности без лицензии, недостоверность адреса юридического лица.
Судебная практика показывает, что чаще всего принудительная ликвидация обществ с ограниченной ответственностью происходит именно по иску налоговых органов.
Существует определённый порядок ликвидации общества с ограниченной ответственностью.
1. Истец собирает доказательства, документы и подает заявление о ликвидации общества в суд.
2. Суд проводит досудебное расследование и назначает заседание.
3. Принимается решение о ликвидации и утверждается ликвидатор.
4. Ликвидатор направляет в ФНС уведомление о начале ликвидации.
5. В средствах массовой информации публикуется сообщение о ликвидации общества с ограниченной ответственностью с указанием срока предъявления претензий (обязательства по публикации сообщения возлагается на ликвидационную комиссию, а срок предъявления претензий не может составлять менее двух месяцев с даты публикации).
6. По окончании сбора претензий ликвидатор составляет промежуточный ликвидационный баланс.
7. Производится расчет с кредиторами (порядок расчётов регламентируется статьей 64 ГК РФ).
8. Составляется ликвидационный баланс.При отсутствии кредиторов и имущества возможно одновременное утверждение промежуточного и итогового ликвидационных балансов.
9. Оставшиеся средства распределяются между учредителями общества с ограниченной ответственностью (передача имущества учредителям происходит на основании утверждённого ликвидационного баланса).
10. В единый государственный реестр юридических лиц вносится запись о прекращении регистрации общества.
Заявление подается в арбитражный суд по месту нахождения общества, в тексте должна быть следующая информация:
- наименование суда;
- фамилия, имя, отчество, должность и контакты истца;
- реквизиты ответчика (общества с ограниченной ответственностью);
- описание обстоятельств дела(в данном пункте излагаются законные основания для ликвидации общества);
- досудебные действия;
- доказательства изложенных фактов(приводятся заявления, жалобы, служебные записки, протоколы об административных правонарушениях, показания свидетелей и т.д.);
- список прилагаемых документов.
К заявлению должны быть приложены: документ, подтверждающий право заявителя на подачу иска, копия устава общества с ограниченной ответственностью, выписка из единого государственного реестра юридических лиц, уведомление о вручении копии заявления представителю общества с ограниченной ответственностью, документальные доказательства изложенных в иске фактов, квитанция об оплате госпошлины.
Процесс судебного расследования выглядит следующим образом:
- судом проводится проверка и анализ фактов, которые были представлены заявителем;
- на заседании проводится слушание аргументов;
- в случае достаточности фактов и весомости аргументов суд принимает решение о ликвидации;
- назначение судом ликвидатора из числа арбитражных управляющих (в случае прямого участия учредителей в противоправной деятельности общества, послужившей причиной подачи иска) либо выбор ликвидатора на собрании учредителей и утверждения судом (в случае подачи иска учредителем).
Также составляется промежуточный ликвидационный баланс, состоящий из списка предъявленных требований и перечня всех активов общества в денежном эквиваленте. На его основании производятся выплаты денежных сумм кредиторам ликвидируемого общества. Ликвидатор может признать требование кредитора необоснованным и не включить его в баланс. Тогда такое требование считается погашенным, если кредитор не заявит в суд возражение в течение 10 дней.
Пунктом 1 ст. 64 Гражданского кодекса Российской Федерации определена очередность расчета с кредиторами при ликвидации юридического лица [3].
1. Удовлетворяются требования граждан, перед которыми ликвидируемое юридическое лицо несет ответственность за причинение вреда жизни или здоровью.
2. Производятся расчеты по выплате выходных пособий и оплате труда лиц, работающих или работавших по трудовому договору, и по выплате вознаграждений авторам результатов интеллектуальной деятельности.
3. Производятся расчеты по обязательным платежам в бюджет и во внебюджетные фонды.
4. Производятся расчеты с другими кредиторами.
Если у общества выявлен недостаток денежных средств для расчета с кредиторами, ликвидатор (ликвидационная комиссия) осуществляет реализацию имущества общества. Если же после расчета с кредиторами у общества денежные средства остались, то они распределяются между его учредителями в соответствии с их долями в уставном капитале.
Однако,на практике часто встречаются случаи, когда и денежных средств, и средств от реализованного имущества оказывается недостаточно для полного погашения требований кредиторов. Тогда заинтересованные лица вправе обратиться в суд с иском о привлечении бывших руководителей общества и ликвидатора к субсидиарной ответственности в течение 3-х лет после ликвидации общества. В случае удовлетворения иска судом ответчик (или ответчики) должны будут погасить требования кредиторов за счет своих денежных средств.
Последним этапом в процедуре принудительной ликвидации является внесение сведений о его прекращении в единый государственный реестр юридических лиц. Именно на этом этапе общество считается ликвидированным.
Срок ликвидации общества, установленный его участниками или органом, принявшим решение о ликвидации общества, не может превышать один год. В случае же, если ликвидация общества не может быть завершена в указанный срок, этот срок может быть продлен в судебном порядке, но не более чем на шесть месяцев [1].
По состоянию на 01.02.2020 г. количество ликвидированных обществ с ограниченной ответственностью составляет 729 679, а по состоянию на 01.04.2020 г. – 739 544. Очевидно, что их количество растет, и крайне важно понимать порядок проведения процедуры принудительной ликвидации и основания для ее начала.
Translation - English Grounds and procedure for the forced liquidation of a limited liability company
Abstract: The forced liquidation of a limited liability company is a kind of penalty for the activities that led to a breach of the law. Statistics show that there is continued growth in the number of liquidated limited liability companies. It underlines the problem and the relevance of the topic. This article includes the meaning of the limited liability company and the liquidation concept. We also identified the grounds to begin the procedure of the forced liquidation and specified empowered authorities, who are free to file a lawsuit. In conclusion, we performed an analysis of the procedure for holding a forced liquidation of a limited liability company.

A limited liability company is a business enterprise which were established by one or several persons. Its share capital is divided into some segments. The participants of the process are not liable for its obligations and do not bear the downside risk related to the company’s activities within the limits of the value of their shares in company’s share capital. A company is liable for its obligations with all its property, but it is not liable for the obligations of its participants [1].
In accordance with the first paragraph of article 57 of the Federal Law «Limited liability companies» a company can be eradicated voluntarily in accordance with the procedure established by the Russian Federation Civil Code. It is also supposed to happen in accordance with the above-mentioned Federal Law requirements and the association’s charter. A limited liability company can also be liquidated by a court order on the basis, which are provided in the Russian Federation Civil Code.
The term liquidation comes from Latin meaning, «liquidation», which means the case ends. The Dictionary of Modern Russian written by D.N. Ushakov has a double meaning of this concept content : «activity interruption of some company or establishment, etc.». There is one more definition: «elimination, ending the existence of someone or something» [2, p.2].
The liquidation of a legal entity leads to the termination of its functioning. It performes without the actual transfer of his rights and obligations to other legal entities in the order of universal succession [3].
The forced liquidation of a limited liability company can be performed by a court order and on a public authority or a local government application. These authorities are entitled by law to make a claim for a liquidation of a company [4].
There are some grounds to begin the procedure of the forced liquidation of a limited liability company:
- The recognition of a limited liability company’s state registration as invalid (company’s state registration is considered invalid in case when during the establishment of the company there were revealed some gross breaches of the law. And it is impossible to eliminate these breaches). Analyzes the decisions of the courts we find out that most of disputes arise because the legal entities are not located and do not carry out activities at the declared location of the permanent executive body. According to the taxation authorities, this breach is a gross violation of law, which entail the forced liquidation. However, the arbitration courts, on absolute majority of cases, do not support the stated requirements and refuse claims [2, p. 25];
- engaging in activity without a corresponding license (licensed activities are contained in the article 128 of the Federal Law: «The regulation on licensing of special kinds of activity»);
- a company can’t be a member of a self-regulatory organization (if such membership is provided by law) or does not have the necessary admission by certification to a certain type of work;
- carrying out legally prohibited activities, or some activities in violation of the law;
- systematic company’s activities, which contradicts the principal purposes of such companies;
- а violation of third parties exclusive rights to products of intellectual activity committed by a head of a company;
- a court decision on declaring the limited liability company bankrupt;
- a legal entity do not report the required documentation to the taxation authorities. There are also no transactions on bank accounts during the 12 months preceding the moment of initiation the procedure for the company’s liquidation by the Federal Tax Authorities;
- a number of other grounds.
The Central Bank of the Russian Federation, the Federal Antimonopoly Service, Prosecutor’s Office, Revenue Service of the Russian Federation, The Federal Ministry of the Interior, Insurance Supervisory authorities, members of the executive power, as well as the founders can file a claim in a court [3].
Legal disputes on liquidation generally arise between founders when there is some lengthy corporate conflict. In such cases, a forced liquidation is indicated by one of the participants, because the voluntary liquidation is impossible [5].
The Central Bank may appeal to the court in case of identifying the unlicensed bank transactions carried out by a company.
The Antimonopoly Service has the right to initiate court proceedings in case of identifying some factors that would indicate the free competition limiting by the company. In accordance with paragraph 1 of article 23 of the Federal Law №135 «On Protection of Competition» the Antimonopoly Service is empowered to initiate and consider cases connected with violation of the antimonopoly law [6].
A prosecutor files an application to the court if there is some violation of citizens’ rights and legitimate interests. The prosecutor’s office may start a judicial proceedings at any stage, if it is necessary to protect citizens’ rights and legitimate interests violated by the company’s activity.
A founder or a shareholder may apply to the court any time of the company’s activity. However, for the claims to be settled, a claimant must demonstrate that there are no other ways to find a solution of this case and that the other founders’ actions have negative consequences for the company.
The Russian Federation Revenue Service may also apply to the court in case of identifying tax violations that company allows in its activities. There are some examples of such violations: the company’s failure to provide financial statements, carrying out activities without a licence, the unreliability of the legal entity’s address.
The court practice mostly shows that the forced liquidation of a limited liability company occurs precisely on the application of The Tax authorities.
There is a certain order of the liquidationt of a limited liability company.
1. A plaintiff collects evidence, documents and then files a complain to the court for the company’s liquidation.
2. The court conducts a pre-trial investigation and appoints a court session.
3. The court should make a decision on liquidation and approve the liquidator.
4. The liquidator sends a notification of the liquidation beginning to the Federal Tax Service.
5. The media publishes information on the liquidation of a limited liability company, pointing out the claims deadline (the obligation to publish the information is imposed on the liquidation commission, and the claims deadline may not be less than two months from the date of publication).
6. After the claims deadline, the liquidator draws up an interim liquidation balance report.
7. The company carry out its payment to creditors (the payment procedure is regulated by article 64 of The Civil Code of the Russian Federation).
8. The liquidator draws up a liquidation balance report. If there are no creditors and there is no property, it is possible to approve the interim and final liquidation balance reports simultaneously.
9. The remaining funds should be distributed among the founders of the limited liability company (the transfer of the property to the founders takes place on the basis of the approved liquidation balance report).
10. The entry on termination of the company’s registration should be entered to the Unified State Register of Legal entities.
The application shall be filed to the Court of Arbitration according to the company’s location. The text should contain the following information:
- the name of a court;
- the full name, position and contact details of the plaintiff;
- the defendant’s bank details (a limited liability company);
- a description of the case facts (this paragraph sets out the grounds for liquidation of the company);
- pre-trial procedures;
- evidence of the stated facts (it may be: applications, complains, memos, reports of administrative offences, witness statements, etc.);
- the list of attached documents.
The application must be accompanied by: a document confirming the applicant's right to file a claim, a copy of the charter of the limited liability company, an entry of the Unified State Register of Legal entities, a notification of provision a copy to the representative of the limited liability company, some documentary evidence of the facts stated in the claim, a receipt of payment of the relevant State free.
The process of judical investigation is as follows:
- the court checks and analyzes the facts presented by the applicant;
- the hearing of arguments is held at the court session;
- in case of sufficiency of facts and the credibility of arguments, the Court makes the decision on liquidation;
- next step is a court’s appointment of a liquidator from the court receivers (in the case of direct involvement of the founders in the company’s illegal activities, which served as the reason for filing a claim) or the choice of the liquidator at the founders meeting and then a court approval (in case of filing a claim by the founder).
The liquidator also draws up an interim liquidation balance report. It consists of a list of submitted claims and a list of the all company’s assets in monetary terms. The payments of monetary to the creditors of the liquidated company are made on its basis. The liquidator may recognize the creditor’s claim as unfounded and they may not include it in the balance list. So that such a claim is considered repaid if the creditor does not file an objection to the court within 10 days.
Paragraph 1 of article 64 of the Russian Federation Civil Code defines the order of settlement with creditors in the legal entity liquidation [3].
1. The requirements of citizens to whom the liquidated legal entity is responsible for causing harm to human life or health are met.
2. Then the calculations for the payment of severance payments and remuneration of persons who work or have worked under an employyment contract are made. Moreover these calculations are also carried out for the payment of remuneration to the authors of the results of intellectual activity.
3. The settlements are made with other creditors.
If the company has identified a lack of funds for settlement with creditors, the liquidator (the liquidation commission) will sell the company’s property. If, after settlement with creditors, the company still has funds, they are distributed among its founders in accordance with their shares in the charter capital.
However, in practice, there are often cases when both money and funds from the sold property are not enough to fully repay the creditors’ claim. Then the interested parties have the right to apply to the court with a claim for attracting the company’s former leaders and the liquidator to a subsidiary responsibility within three years after the liquidation of the company. In case of granting an application by the court, the defendant (or defendants) will have to repay the creditors’ requirements using their own funds.
The last step in the procedure of forced liquidation is to enter information about this liquidation to the Unified State Register of Legal entities. The company is considered liquidated at this stage.
The term of the company’s liquidation established by its participants or the authorities that made the decision to liquidate the company may not exceed one year. In case of the company’s liquidation cannot be completed within the specified period, it may be extended in court, but not for more than six months [1].
As at 01.02.2020, the number of liquidated limited liability companies is 729, 679, and as at 01.04.2020 it is 739, 544. It is obvious that its number is growing, and it is extremely important to understand the way of conducting forced liquidation procedure and the reason for its initiation.
