Source text - Arabic تتحصل الوقائع حسبما تفصح الأوراق وبالقدر اللازم لإصدار هذا الحكم، في أنه تقدم الى هذه المححمة وكيل المدعية/ فرحان بن عبدالبادي الشمري - سعودي الجنسية - ويحمل هوية وطنية رقم (.........) بموجب وكالة رقم (.........) بتاريخ ١٤٣٧/٤/٢٥ه الصادرة من كاتب العدل المكلف في الهيئة العامة للاستثمار بالشرقية، بصحيفة ادعاء جاء فيها أنه في عام ١٤٣٤ه بدات علاقة المدعية مع المدعى عليها الثانية/ شركة .............. من خلال المدعى عليها الأولى/ .................. والمملوكة للمدعى عليها الثانية بالكامل، وفي عام ١٤٣٥ ه عرضت المدعى عليها الثانية/ ................ من خلال المدعى عليها الأولى/ ............... الشراكة والعمل في السوق السعودية، وفي هام ١٤٣٥ ه وقعت المدعية مع المدعى عليها الثانية/ ..................... اتفاقية المحافظة على سرية المعلومات على إثرها قامت المدعية بتقديم كامل معلوماتها ومعلومات السوق للمدعى عليهما الأولى والثانية، وفي عام ١٤٣٦ ه قامت المدعية بتوقيع عقد إيجار سفينتين وإحلال إحدى سفن المدعى عليهما الأولى والثانية محل سفينة للمدعية باعتبار أنهم في طريقهم لتأسيس شراكة، وبعد اطلاع المدعى عليهما الأولى والثانية على كافة أسرار المدعية التجارية وبعد أن تجاوز مجموع العقود المبرمة بين الأطراف مئات الملايين واستغلت المدعى عليهما الأولى والثانية تلك المعلومات للدخول في السوق السعودي وقاموا بتسجيل المدعى عليها الثالثة/ ............. مع طرف آخر، كما قاموا ببث معلومات مضللة للإساءة إلى المدعية مع عملائها ومع الموردين والبنوك، كما قاموا بسحب الضمان البنكي المعطى لهم من المدعية وأيضًا قاموا بمنع طواقم سفن المدعية من تسليم المستندات والتقارير اللازمة والفواتير لشركة أرامكو؛ مما ترتب عليه إضرار بعلاقة المدعية مع شركة أرامكو وتعذر صرف قيمة تلك الفواتير، ثم ختم صحيفته بطلب منع المدعى عليهم من الحلول محل المدعية في العقود التي وقعتها مع شركة أرامكو السعودية وكذلك منع المدعى عليهم من تحريض طواقم العاملين على السفن المستأجرة من التأثير على عمليات المدعية مع شركة أرامكو وأيضًا منع المدعى عليهم من محاولة الإضرار بالمدعية مع شركة أرامكو والبنوك والعملاء الآخرين وأخيرًا تعويض المدعية عن كامل الأضرار التي لحقت بالمدعية نتيجة تصرفات المدعى عليهم.
Translation - English The merits of the Case are summed up as disclosed by its papers and documents to the extent necessary to render this judgment. Whereas the Attorney of Plaintiff / Farhan Bin Abdulhadi Al Shammari – Saudi national – holder of National ID Card No. (………….), by virtue of Power of Attorney No. (………….) dated 25/04/1437 H and issued by the Notary Public assigned in the Saudi Arabian General Investment Authority (SAGIA) – Eastern Region, filed a statement of claim which sets forth that in 1434 H the Plaintiff established a relationship with the Second Defendant / …………. through the First Defendant / …………. which is entirely owned by the Second Defendant. Additionally, in 1435 H the Second Defendant / ………….. through the First Defendant / …………. offered partnership and engagement in the Saudi Market. Moreover, in 1435 H, the Plaintiff and the Second Defendant / ………….. executed a Non-Disclosure Agreement under which the Plaintiff provided both First and Second Defendants with all its data and information of the market. Furthermore, in 1436 H the Plaintiff executed a Charterparty to take on lease two ships and replace a ship owned by the Plaintiff with another ship owned by both First and Second Defendants, being in their way to establish a partnership relationship. However, after both First and Second Defendants gained access to all trade secrets of the Plaintiff, and after the contracts concluded by and between the parties exceeded hundreds of millions, both First and Second Defendants exploited such information to break into the Saudi Market. Moreover, they registered the Third Defendant / …………. with a third party, furthermore, they disseminated misleading information to cause damages to the Plaintiff with its clients, suppliers and banks. In addition, they withdrew the bank guarantee given to them by the Plaintiff, and prevented crews of the Plaintiff’s ships to deliver necessary documents, reports, and invoices to Aramco; a matter which resulted in severe damages to the relationship of the Plaintiff with Aramco. As a result, the Plaintiff failed to collect the value of such invoices. The Plaintiff’s Attorney concluded his statement of claim with a petition as follows:
- prevent the Defendants from replacing the Plaintiff in the contracts signed with Saudi Aramco;
- prevent the Defendants from inciting crews of the charter ships to impact the Plaintiff’s operations with Aramco;
- prevent the Defendants from causing damages to the Plaintiff’s relationship with Aramco, banks and other clients; and
- compensate the Plaintiff for all damages incurred by it as a result of the Defendants’ actions.

القوة القاهرة
36-1 إذا وقعت خلال تنفيذ الترخيص أحداث تدخل في مفهوم "القوة القاهرة" وفقا لمفهومها المنصوص عليه في المادة (2) من هذا الترخيص وكان من شأن ذلك تعطيل أو استحالة تنفيذ كل من المرخص أو المرخص له أو أحدهما لالتزاماته فيكون من حق الطرف المتضرر من القوة القاهرة وقف تنفيذ التزاماته طول الفترة التي تستغرقها تلك القوة القاهرة، وعند انتهائها يتعين أخذ فترة الوقف في الحسبان عند احتساب فترات التنفيذ المتفق عليها.
36-2 في جميع الأحوال، يلتزم الطرف المتضرر من القوة القاهرة بإخطار الطرف الآخر فور وقوعها بتاريخ وقوعها وطبيعتها ويرفق بهذا الإخطار بيانا تقريبياً بطبيعة الالتزامات التي تأثرت بوقوعها مؤيداً بالمستندات، إن وجدت. وللطرف الآخر تقدير توافر وقوع القوة القاهرة من عدمه، وفي حالة الخلاف بين الطرفين على توافر وقوعها وشروطها وآثارها يحسم هذا الخلاف وفقا للمادة (23).
36-3 إذا كان من شأن أحداث القوة القاهرة أن تؤدي إلى إتلاف البنية الأساسية الخاصة بشبكة المرخص له فإنه يتعين عليه أن يعد ويقدم خلال فترة زمنية معقولة المقترحات التي تبين كيف يخطط في الاستمرار وإصلاح وإعادة بنيته الأساسية لكي يستأنف تقديم الخدمات محل هذا الترخيص طبقا لشروط وأحكام هذا الترخيص.
المادة (37)
مراجعة مجلس الدولة
يقبل المرخص والمرخص له ما يدخله مجلس الدولة من تعديلات على بنود هذا الترخيص عدا الالتزامات الفنية والمالية.
المادة (38)
القانون الواجب التطبيق
يخضع هذا الترخيص لأحكام قانون تنظيم الاتصالات رقم 10 لسنة 2003 والتشريعات والقوانين واللوائح والقرارات السارية أو التي تصدر مستقبلاً، ويسرى فيما لم يرد به نص بهذا الترخيص أحكام قانون تنظيم الاتصالات رقم10 لسنة 2003.
المادة (39)
التأخـر أو عـدم السـداد
في حالة تأخر المرخص له عن سداد أي من المبالغ المالية المستحقة للمرخص والمذكورة في هذا الترخيص في تاريخ الاستحقاق لأيٍ منها، يلتزم المرخص له بسداد تلك المستحقات بالإضافة إلى غرامة تأخير ويتم احتسابها وفقا لسعر الفائدة المعلن من البنك المركزي. وذلك بدون الإخلال بحق المرخص في إنهاء الترخيص وفقا للمادة (34) منه.
المادة (40)
التأمين
40-1 يلتزم المرخص له عند التوقيع على هذا الترخيص– وكضمان لتنفيذ كافة الالتزامات الواردة به – أن يودع خزانة المرخص مبلغا نقدياً قدره 10,000,000 [العملة] (عشرة ملايين [العملة]) كتأمين لتنفيذه لكافة الأحكام الواردة فيه، ولا تحسب فائدة على هذا المبلغ. ويجوز قبول شيكات معتمدة أو مصرفية على أحد البنوك التجارية المحلية (إذا كان مقبول الدفع من البنك المسحوب عليه). ويجوز أن يكون التأمين بخطاب ضمان نهائي نظيف يتم تقديمه لمدة عام وصادر من أحد البنوك المحلية المعتمدة غير مقترن بأي شرط أو قيد ويجدد طوال مدة الترخيص، وأن يقر فيه البنك بالتزامه بدفع مبلغ التأمين كاملاً أو جزء منه للمرخص فور طلبه دون النظر إلى أي اعتراض من المرخص له، وأن يقر البنك في خطاب الضمان بأنه لم يتجاوز الحد الأقصى المحدد له لمجموع خطابات الضمان المرخص للبنك في إصدارها وأن يكون البنك مصرحاً له بإصدار خطابات ضمان.
40-2 يحتفظ المرخص بالتأمين كاملاً طوال مدة سريان الترخيص أو أي فترة يجدد إليها، ويرد التأمين أو ما تبقى منه للمرخص له بعد انتهاء الترخيص وفي حالة عدم التزام المرخص له بسداد المبالغ أو الغرامات أو الجزاءات المالية أو المبالغ المالية للشروط الجزائية المنصوص عليها في هذا الترخيص المستحقة كلها عليه بموجب هذا الترخيص بما في ذلك غرامات التأخير المستحقة عليه يحق للمرخص خصم هذه المبالغ من التأمين، ويلتزم المرخص له بتكملة التأمين إلى ما كان عليه في حالة نقصه أثناء فترة سريان الترخيص خلال خمسة عشر يوماً التالية لإخطاره بالخصم.
40-3 في حالة عدم التزام المرخص له بالتزاماته الواردة بهذا الترخيص يحق للمرخص وقف الترخيص لمدة محددة طبقا للإجراءات التي يقررها وتوقيع الجزاءات المالية عليه يتم خصمها من مبلغ التأمين المذكور في البند (40-1) في حال عدم سداد المرخص له للجزاء المالي المحدد من قبل المرخص خلال أسبوع من تاريخ إخطاره بالجزاء، كما يجوز للمرخص ايضا مصادرة مبلغ التامين ولا يخل ذلك في حصول المرخص على أي تعويضات اخري نتيجة هذه الاختلالات.
40-4 فيما عدا ما تم النص عليه داخل هذا الترخيص من جزاءات مالية فإن أي مخالفات أخرى تقع من المرخص له يحق للمرخص أن يخصم مبالغ من مبلغ التأمين بما لا يجاوز مبلغ التأمين وذلك في حال عدم سداد المرخص له للجزاء المالي المحدد من قبل المرخص خلال أسبوع من تاريخ إخطاره بالجزاء.
40-5 في حالة عدم التزام المرخص له بالتزاماته الواردة بهذا الترخيص يكون مبلغ التأمين من حق المرخص.
40-6 لا ينفذ هذا الترخيص إلا بعد سداد المرخص له لمبلغ التأمين المذكور بعالية.
Translation - English Article 36
Force Majeure
36.1 In case of the occurrence of events that may be considered as events of "force majeure" in accordance with the definition stipulated under Article (2) during the execution of the license, and this impeded or rendered it impossible for the Licensing Authority and/or the Licensee to perform their obligations, then the party aggrieved from the force majeure may stop performance of its obligations for the duration of the force majeure, after which, that party shall take into account the stoppage period when calculating the execution periods as agreed upon.
36.2 In all cases, the party aggrieved by the force majeure shall serve a notice to the other party immediately upon the occurrence of such instance of force majeure of the date and nature of the force majeure, and supporting documents for the same if any. The other party shall exercise its discretion on whether or not such force majeure exists. Should the parties disagree on the existence, occurrence, conditions or effects of the force majeure, then such disagreement shall be resolved in accordance with Article (23).
36.3 If the force majeure is expected to cause damages to the Licensee's network infrastructure, then the Licensee shall prepare and submit proposals within a reasonable timeframe indicating how it plans to sustain, repair and restore its infrastructure in order to resume the provision of services subject of this license and in accordance with the terms and conditions thereof.
Article 37
Council of the State Audit
Except for technical and financial obligations, both the Licensing Authority and the Licensee hereby accept any amendments that may be introduced by the Council of the State on the terms and conditions of this license.
Article 38
Applicable Law
This license is subject to the Telecommunications Regulation Law No. 10 of 2003 and the relevant legislations, laws, regulations and resolutions as applicable or which may be applicable in the future, and any issues not expressly stated in this license shall be subject of the provisions of the Telecommunications Regulation Law No. 10 of 2003.
Article 39
Delay of or Default in Payment
In event the Licensee delays payment of any amounts payable to the Licensing Authority in accordance with this license on accrual dates, then the Licensee shall pay such amounts payable in addition to a delay penalty to be calculated in accordance with the interest rates as announced by the central bank without prejudice to the right of the Licensing Authority to terminate this license in accordance with Article (34) thereof.
Article 40
Good Performance Bond
40.1 Upon execution of this license - and as collateral for the performance of all the obligations stipulated under this license – the Licensee shall deposit at the Licensing Authority's treasury (currency) 10,000,000 (Ten Million (currency)) in cash as a good performance bond to guarantee performance of all the obligations stipulated herein. No interest shall accrue on this bond. The Licensing Authority may accept certified cheques or banking cheques drawn on one of the local commercial banks (if the cheque is certified by the drawee bank). The good performance bond may be in the form of an unconditional and unrestricted letter for a final clear security valid for one year and issued by a chartered local bank that is renewable for the entire term of the license and in which, the bank declares its obligation to pay the value of the good performance bond in full or in part to the Licensing Authority upon request and without regard to any objections by the Licensee, and the bank shall declare in the letter of the good performance bond that the bank did not exceed the number of bonds the bank is licensed to issue and that the bank is licensed to issue such letters of good performance bonds.
40.2 The Licensing Authority shall retain the good performance bond for the entire validity period of the license or any renewed terms, and shall return the good performance bond or the residual part thereof to the Licensee after the expiry of the license. In event the Licensee fails to pay the amounts, penalties or financial penalties in accordance with the penalty clauses stipulated under this license, including the delay penalties, then the Licensing Authority may deduct these amounts from the good performance bond and the Licensee shall replenish the limit of the good performance bond to its original value within fifteen days of the notice served by the Licensing Authority in event the value dropped during the validity term of the license.
40.3 In event the Licensee fails to perform its contractual obligations as stipulated under this license, then the Licensing Authority may suspend the license for a certain period in accordance with the procedures decided by the Licensing Authority who may also impose financial penalties to be deducted from the good performance bond described in Article (40-1) if the Licensee fails to pay the financial penalty specified by the Licensing Authority within one week of the date of the notice served thereto with the penalty. Also, the Licensing Authority may confiscate the good performance bond without prejudice to any other compensation to the Licensing Authority in remedy of the breaches.
40.4 Except for the financial penalties stipulated under this license, for any other breaches by the Licensee; the Licensing Authority is entitled to make deductions from the good performance bond provided however, such deductions shall not exceed the value of the good performance bond if the Licensee failed to pay the financial penalty stipulated by the Licensing Authority within one week of the notice served to the Licensee on such penalty.
40.5 If the Licensee failed to perform its obligations as stipulated under this license, then the Licensing Authority shall be entitled to the good performance bond.
40.6 This license may not go into effect except after the Licensee procures the good performance bond as stipulated hereinabove.

1 . منطقة تُسمّى "مدينة إكسبو دبي" وتُحدِّد الخريطة المُلحقة بهذا القانون موقعها
ومساحتها وحُدودها.
2 . سُلطة عامّة للإشراف على إدارة المدينة، تُسمّى "سُلطة مدينة إكسبو دبي"، تتمتّع
بالشخصيّة الاعتباريّة، والاستقلال المالي والإداري، والأهليّة القانونيّة اللازمة لمُباشرة
الأعمال والتصرُّفات التي تكفل تحقيق أهدافها، وتكون مملوكة بالكامل للحُكومة.
ب- تُنشأ ضمن حدود المدينة منطِقة حُرّة ومنطِقة إداريّة، يُحدِّد الرّئيس موقِعهُما ومساحتهُما وحدودهُما، وتخضع هذه المناطق في الإدارة والتنظيم التشريعي للسُّلطة، على أن يتم نشر
قرارات الرّئيس الصّادرة في هذا الشأن في الجريدة الرسميّة للحُكومة.
أهداف السُّلطة
المادة ) 4(
تهدف السُّلطة إلى تحقيق ما يلي:
1 . المُساهمة في دعم جُهود الإمارة الرّامية لتعزيز مكانتها كمركز عالمي مُتميّز في مجال تنظيم
واستضافة المعارض الدوليّة والفعاليّات الكُبرى على كافّة المُستويات المحلّية والإقليميّة
والعالميّة.
2 . ضمان المُحافظة على النّجاحات التي حقّقتها الدّولة في استضافة المعرض، من خلال إبراز
الإرث العميق والطّويل لهذه النّجاحات للأجيال الحاليّة والمُستقبليّة.
3 . الحفاظ على المُحتوى الفكري والرّقمي الذي تَحقّق للإمارة من استضافة المعرض، والعمل
على حِمايته وتطويره بما يخدم خطط الإمارة وتوجُّهاتِها نحو المُستقبل.
4 . المُساهمة في نقل المعرفة وتبادُل الخبرات المُتعلِّقة بإدارة وتنفيذ المعارض الدوليّة والفعاليّات
الكُبرى مع المُنظّمات والمُؤسّسات الدوليّة أو الإقليميّة، للاستفادة من التجربة المُتميِّزة للإمارة
في تنظيم وإدارة وتنفيذ وإنجاح المعرض.
5 . تعميق التواصُل الدّولي مع العالم، وتعزيز وبلورة العلاقات التي تم تأسيسها خلال فترة إقامة
المعرض والاستفادة منها، بما في ذلك العلاقات والاتفاقيّات التي أُبرِمَت مع الدُّول والمُنظّمات
والمُؤسّسات الدوليّة والشّركات والمُؤسّسات الأكاديميّة وصناديق الاستثمار وغيرها.
6 . المُساهمة في تعزيز مكانة الإمارة عالميّاً، من خلال إيجاد منصّة إعلاميّة تُسهِم في نشر رسائل
الإمارة الإستراتيجية إلى العالم، تتضمّن التجارب النّاجحة والدُّروس المُستفادة التي حقّقتها
الإمارة من استضافة المعرض.
7 . المُساهمة في إحياء شعار المعرض، المُتمثِّل في "تواصُل العُقول وصُنع المُستقبل"، من خلال
الفعاليّات والبرامج والأنشِطة التي ترسُم ملامح الإمارة وتوجُّهاتِها نحو المُستقبل، بما يتوافق
مع أولويّات الإمارة الإستراتيجية.
8 . المُساهمة في استقطاب وجذب الاستثمارات والشّركات والمُؤسّسات التجاريّة المحلّية
والعالميّة لتتّخذ من المدينة مقراً لأعمالِها واستثماراتِها.
Translation - English a. Pursuant to this Law.
1. a zone named “Expo City Dubai” is established within the Emirate. The map attached hereto determines its location, area and boundaries.
2. a public authority to supervise the City management, named “Expo City Dubai Authority” is established within the Emirate. ECDA will have legal personality, financial and administrative independence and the legal capacity required to undertake the acts and dispositions that ensure the achievement of its objectives. ECDA will be wholly owned by the government.
b. A Free Zone and an Administrative Zone are hereby established within the boundaries of the City; the Chairman will determine their locations, areas, and boundaries. The Free Zone and the Administrative Zone will be managed by ECDA and governed by its regulatory legislation. The resolutions issued by the Chairman in this respect must be published in the Official Gazette of the Government of Dubai.
Objectives of ECDA
Article (4)
ECDA will have the objectives to:
1. contribute to supporting the efforts of the Emirate to enhance its position as an international hub of excellence in the field of organizing and hosting international exhibitions and major events at all local, regional and global levels.
2. ensure the UAE's success in hosting exhibitions is preserved by emphasizing the long-term legacy of such success for current and future generations.
3. preserve the intellectual and digital content achieved by the Emirate through hosting the Expo, protect and develop such content in order to serve the Emirate’s plans and directions towards the future.
4. Contribute to the transfer of knowledge and exchange of experiences related to the management and implementation of international exhibitions and major events with international or regional organizations and establishments, with a view to learn from the distinguished experience of the Emirate in organization, management, implementation and success of the Expo.
5. deepen international communication with the globe, strengthening and elaborating relationships established during the Expo period and benefiting therefrom, including relationships and agreements concluded with countries, international organizations and establishments, academic corporations and institutions, investment funds, and so on.
6. contribute to strengthening the Emirate’s global position by developing a media platform that aids dissemination of the Emirate's strategic messages around the world.
The messages will include the Emirate's successful experiences and lessons learned while hosting the Expo.
7. contribute to reviving the Expo theme “Connecting Minds and Creating the Future” through events, programs and activities that outline the Emirate's features as well as its future orientations, in line with the Emirate’s strategic priorities.
8. contribute to attracting local and international investments, commercial corporations and establishments to establish their headquarters within the City, and conduct their business and investments therefrom.

Source text - English 1. DEFINITIONS
In this Agreement (as defined herein), unless there is something in the subject matter or context inconsistent therewith, the following terms shall have the respective meanings ascribed below:
a) “Agreement”, “this Agreement”, “hereto”, “herein”, “hereby”, “hereunder” and similar expressions refer to this Agreement and not to any particular Article, Section or other portion hereof, and include any and every instrument supplemental or ancillary to or in implement hereof;
b) “Company” means the Company formed pursuant to this Memorandum;
c) “Commercial Register” means the commercial register at the Department of Economic Development;
d) “Directors” means the Director or the Directors of the Company appointed pursuant to this Memorandum;
e) “Partner(s)” means the parties to this Memorandum and any person or legal entity which becomes the holder of a share in the capital of the Company in accordance with the terms of this Memorandum;
f) “Principal Place of Business” means Office No. B532, Saaha Offices, Souk Al Bahar, Dubai, UAE;
1.6. “the Commercial Companies Law”: The Federal Law No. (2) of 2015 concerning commercial companies;

The name of the Company shall be “MOMS CREPE FOODSTUFF TRADING L.L.C” (hereinafter referred to as the “Company”).
3. OBJECTS OF THE COMPANY

b) The Company shall have a private status and no invitation to the public to subscribe for shares shall be made. The shareholding may not be evidenced by transferable deeds;
c) The Company shall, on its letterhead, and on all documents and materials it uses, mention the words “Limited Liability Company”. It shall also mention its Commercial Registration Number;
d) The liability of the Shareholders shall be limited to the extent of their shares in the capital of the Company. No shareholder shall be personally liable for the Company’s debts or losses.
6. TERM OF THE COMPANY
Subject to the provisions of this Agreement, the term of the Company shall be for ten (10) calendar years as of the date of its registration in the commercial register. Such term shall be automatically renewed thereafter for similar periods unless a resolution to the contrary is passed by the Shareholders at an Extraordinary General Meeting.

في هذه الاتفاقية (على النحو المحدد في هذا المستند)، ما لم يكن هناك شيئا في الموضوع أو السياق غير متسق معها، يكون للمصطلحات التالية المعاني الموضوعة لها على النحو المبين أدناه:
أ) "اتفاقية"، "الاتفاقية"، "بهذا المستند"، "في هذا المستند"، "بموجب هذا"، "بموجب هذه الاتفاقية" والتعبيرات المماثلة تشير إلى هذه الاتفاقية وليس إلى أي بند أو مادة معينة أو جزء أخر فيها وتشمل أي وجميع المستندات التكميلية أو الملحقة على أو في تنفيذ هذه الاتفاقية؛
ب) "الشركة" يقصد بها الشركة المؤسسة بموجب عقد التأسيس هذا؛
ج) "السجل التجاري" يقصد به السجل التجاري في دائرة التنمية الاقتصادية؛
د) "المدراء" يقصد بها المدير أو المدراء بالشركة المعينين بموجب عقد التأسيس هذا؛
ه) "الشريك (الشركاء)" يقصد بها أطراف عقد التأسيس هذا وأي شخص أو هيئة قانونية يصبح أو تصبح حاملا للأسهم في رأس مال الشركة طبقا لبنود عقد التأسيس هذا؛
و) "مكان العمل الرئيسي" يقصد به المكتب رقم بي 532، مكاتب الساحة، سوق البحر، دبي، الإمارات العربية المتحدة؛
1-6 "قانون الشركات التجارية": القانون الاتحادي رقم (2) لعام 2015 بشأن الشركات التجارية؛
ز) "دائرة التنمية الاقتصادية" يقصد بها دائرة التنمية الاقتصادية في إمارة دبي؛
ح) "القانون المنظم للأنشطة الاقتصادية" يقصد به القانون رقم (13) لعام 2011 المنظم للأنشطة الاقتصادية في إمارة دبي والقوانين الصادرة المعدلة لها.
2- اسم الشركة
اسم الشركة هو "مومس كريبي فودستاف تريدينج ذ.م.م" (ويشار إليها فيما بعد "الشركة").
3- أهداف الشركة
تزاول الشركة الأنشطة التالية:
• تجارة الأغذية والمشروبات
• تجارة الوجبات الخفيفة
• تجارة منتجات الألبان
• تجارة اللحوم الطازجة والمبردة والمجمدة
• تجارة البيض
• تجارة الخبز ومنتجات المخابز
• تجارة الأيس كريم
• تجارة المياه المعدنية
• تجارة المشروبات الغازية والمياه الغازية
• تجارة العصائر
4- المكتب الرئيسي وعنوان الشركة
يكون المكتب الرئيسي وعنوان الشركة في إمارة دبي، الإمارات العربية المتحدة، مكتب رقم بي 532، مكاتب الساحة، سوق البحر، ويجوز للشركة إنشاء فروع لها في داخل أو خارج الإمارة طبقا لقرار يصدر من الجمعية العمومية العادية للشركة وبعد الحصول على موافقة السلطات المعنية.
5- الكيان القانوني للشركة
أ) تكون الشركة: شركة ذات مسؤولية محدودة؛
ب) يكون للشركة كيان خاص ولا يجوز دعوة العامة للاكتتاب في أسهمها. ولا يجوز إثبات ملكية الأسهم في الشركة من خلال السندات القابلة للتحويل؛
ج) يجب على الشركة أن تذكر الكلمات "شركة ذات مسؤولية محدودة" على أوراقها الرسمية وجميع المستندات والمواد التي تستخدمها كما يجب على الشركة أن تذكر أيضا رقم السجل التجاري؛
د) تكون مسؤولية حملة الأسهم محدودة بمقدار أسهمهم في رأس مال الشركة. ولا يتحمل أي حامل أسهم مسؤولية شخصية عن ديون أو خسائر الشركة.
6- مدة الشركة
مع مراعاة أحكام هذه الاتفاقية، تكون مدة الشركة عشر (10) سنوات اعتبارا من تاريخ تسجيلها في السجل التجاري. ويتم تجديد هذه المدة تلقائيا بعد ذلك لمدد مماثلة ما لم يصدر قرار بخلاف ذلك من قبل حملة الأسهم في جمعية عمومية غير عادية.
