A document required to be filed with an appropriate state or local government agency, in order to establish legal recognition of a Limited Liability Company (LLC). Articles of organization closely parallel articles of incorporation needed for legal creation and recognition of corporations.

agree Oana Dorobantu : prin modificarea legii 31, contractul de societate si statutul se pot face intr-un singur document, denumit act constitutiv. De aceea termenul de articles of incorporation este mai adecvat in aceasta lumina

memorandum of association (British English)

"Memorandum of association" este echivalentul britanic pentru act constitutiv sau contract de societate.

Pentru statutul societatii se foloseste "Articles of association".

The most usual method of forming an incorporated company (see incorporation). Under the Companies Act 1985 the following documents must be delivered with the appropriate fee to the Companies Registry: the memorandum of association signed by at least two company members, articles of association (if any), statements relating to the directors, secretary, and the registered office, and a statutory declaration that the Companies Act has been complied with. The Registrar will then enter the company\'s name in the companies register and issue a certificate of incorporation.
