DEFEASANCE CLAUSE: A clause used in leases and mortgages that cancels a specified right upon the occurrence of a certain condition, such as cancellation of a mortgage upon repayment of the mortgage loan.

A resolutory condition in the civil law is one which has for its object, when accomplished, the revocation of the principal obligation. This condition does not suspend either the existence or the execution of the obligation, it merely obliges the creditor to return what he has received.

Στην περίπτωση αυτή η Τράπεζα, για την διασφάλιση των συμφερόντων της, θα συμπεριλάβει στο συμβόλαιο αγοραπωλησίας διαλυτική αίρεση, σύμφωνα με την οποία αν ο αγοραστής καθυστερήσει να πληρώσει στην ΑΤΕ οποιοδήποτε ποσό από το πιστούμενο τίμημα είκοσι ημέρες μετά την πάροδο της ημερομηνίας καταβολής κάθε δόσης, θα δικαιούται η ΑΤΕ, με μονομερή συμβολαιογραφική πράξη, να θεωρήσει την πώληση και μεταβίβαση διαλυμένη (δηλαδή πλήρωση της διαλυτικής αίρεσης). Στην περίπτωση αυτή θα παρέχεται από τον αγοραστή στην ΑΤΕ η ανέκκλητη εντολή και πληρεξουσιότητα στην Τράπεζα για την μονομερή υπογραφή συμβολαιογραφικής πράξης πλήρωσης της διαλυτικής αίρεσης ως αντιπρόσωπος του αγοραστή και να αποδεχθεί για λογαριασμό του τη διάλυση της αγοραπωλησίας.
Μέχρι του σημείου που η πώληση και η μεταβίβαση θα εξαρτάται από την παραπάνω διαλυτική αίρεση, απαγορεύεται κάθε πώληση ή οποιαδήποτε επιβάρυνση του ακινήτου.
