I found this in the English translation of France's Code monétaire et financier. Article L212-3 "I. - Without prejudice to the provisions of the third paragraph of Article L. 211-4, the shares of joint-stock companies issued on French soil under French legislation which are not admitted to trading on a regulated market, excluding unit trusts and investment trusts investing primarily in real property, must be registered."
"I.-Sous réserve des dispositions de l'article L. 211-7, les actions émises en territoire français et soumises à la législation française, des sociétés par actions, autres que les SICAV ou les sociétés de placement à prépondérance immobilière à capital variable, qui ne sont pas admises aux négociations sur un marché réglementé revêtent la forme nominative."
In the French Code, the term is always followed by "à capital variable", but this doesn't seem to change the English translation.
