The Parties agree that if there is a conflict between any provision of this Protocol and any provision of the XXX Articles of Association, they shall observe the provisions of this Protocol to the effect that if the XXX Articles of Association prescribe the observance of requirements that are:

(a) less stringent than the corresponding requirements set out in this Protocol, the Parties shall also observe the latter requirements; and

(b) more stringent than the corresponding requirements set out in this Protocol, upon the requirements of this Protocol having been satisfied the Parties shall without discretion co-operate in ensuring that the requirements of the XXX Articles of Association are also satisfied without delay.
