Arbeitsvertrag
Es geht um einen Arbeitsvertrag für einen Equity Partner.....
Im Text wird wie folgt definiert:
“Equity Partner” shall mean any person, who upon election for admission as a Partner to the Partnership of XX, has (i) met the criteria set out in Chapter III, Article 4, (5) of the Articles of xx and in the procedures for admission as defined by the Management Committee and approved by the affirmative vote of at least 2/3 of all Partners entitled to vote; (ii) has executed an Adherence Letter to become a party to the Partnership Agreement; and (iii) has subscribed for the number of voting shares in BE Partners BV in accordance with the share allocation principles and capital contribution levels set forth in the Partnership Agreement.
“Non-Equity Partner” shall mean an employee who has not been elected for admission as a Partner to the Partnership of xx, and consequently is not entitled to (i) share in any of the profits of the Partnership, excluding any designations of a percentage of the profits for distribution among the non-Equity Partners; or (ii) make or be called upon to make a capital contribution or buy-in; or (iii) vote on any matters reserved for Equity Partners; or (iv) serve on any committees. Notwithstanding the foregoing, the designation as a Partner in all firm directories and internal and external marketing materials or communications may be made without distinction as regards equity and non-equity status."
Vielen Dank!
