资本账户“补足”
"true-up"在这里是“补齐”/"补足"的意思，意即capital account本来应该有比如1000美元的余额，但实际上只有500美元，那么就可以另外添加“true up"到1000美元。
简单而言，之所以这样做，是因为出于减税考虑，合伙人可以用profit冲抵出资（capital），这样冲抵部分一分钱税都不用交，但是到了清算时，由于冲抵造成资本金不足（因此就不能按先前比例分earnings，或是按先前比例偿债），所以就有一个capital account “true-up”条款，自动通过某种资金途径将capital account补足。
