All important corporate governance documents and documents relating to equity ownership, including Articles or Certificates of Incorporation, bylaws, meeting minutes, written consents, stock ledger, stock certificates, stock certificate stubs, and stock transfer documents, should be maintained in the corporate minute and stock records book. As each written consent or minutes of a meeting is completed, it should be placed, with all exhibits, in the minute book. This will insure that all actions of the corporation are properly documented and will provide an accurate history of activities.
