English to Russian Other Investment / Securities

Контекст: Management Fee. In consideration for the Manager’s satisfaction of its obligations under this Agreement, the Company shall pay to the Manager the Management Fee during the term of this Agreement. The Management Fee shall be ____ million per each fiscal year of the Company. The Management Fee shall consist of (i) management salaries of an aggregate annual amount as outlined in the annual budget (the “Annual Budget”) of the Company (the “Management Annual Salary”) and (ii) Borrower Expenses (as defined on Exhibit D) as set forth in the Annual Budget. The Management Fee shall be payable quarterly in advance. The Management Fee and installments thereof shall be prorated to account for partial operating years or months, as applicable. The Company shall draw down Capital Loans to make Portfolio Company Investments, and the Company shall draw down Expense Loans to pay the Management Annual Salary and to pay Borrower Expenses estimated by the Annual Budget.
