It is understood and agreed that the negotiations may not produce a final agreement. Borrower should not forego any permitted alternative opportunities to pay the Loan in full, or to the extent, if any, Borrower has cure rights, curing any defaults per the terms of the Loan Documents. Lender may at its sole election, in its sole and absolute discretion, at any time exercise any and or all default remedies under the Loan Documents, based upon Borrower's failure to pay the Loan in full on the Maturity Date, and/or based upon any other default. Borrower acknowledges that it may not in any way rely on, or claim reference on, the negotiations.

Интересно, кстати, почему claim reference on, а не refer to - просто и незатейливо? Не приведете ли фразу, предшествующую обсуждаемой, и фразу, следующую за ней? Спасибо.

Андрей, это о Pre Negotiation Agreement, так что переговоров еще не было. тема переговоров - о продлении срока кредита.

Крио! Откуда же нам известно, о чем шла речь на переговорах и, главное, чем они закончились? Имхо, без дополнительного контекста вся приведенная Вами фраза выглядит весьма странно.
