Laut rumän. Gesellschaftsrecht werden Handelsgesellschaften durch Gesellschaftsvertrag und/oder Satzung (sog. Gründungsurkunde / Act constitutiv) gegründet.
Der Gesellschaftsvertrag (alleine für KG und OHG / societate în comandită şi soc. în nume colectiv) und die Satzung + Gesellschaftsvertrag (für AG, GmbH / SA, SRL) können auch in der Form eines einheitlichen Schriftstücks mit der Bezeichnung „Gründungsurkunde“ (contract de societate + statut) errichtet
werden (Contractul de societate şi statutul pot fi încheiate sub forma unui înscris unic, denumit act constitutiv.) Deci: când se încheie numai contractul de societate sau numai statutul, acestea pot fi denumite, de asemenea, act constitutiv. Legea 31/1990 spune: "Denumirea act constitutiv desemnează atât înscrisul unic, cât şi contractul de societate şi/sau statutul societăţii."
