As to cause based upon paragraphs 1-3 below, XXXX will permit the Distributor a ninety (90) day period to cure the cause prior to termination.
Good cause shall include, but not be limited to, the following:
Failure by the Distributor to achieve established performance objectives and/or a reasonable market share in the assigned SDV
Failure by the Distributor to maintain and properly train a staff of sales and service personnel of adequate size for the Products;

Voici ma suggestion. Je pense que motif est le meilleur terme. Si on a un motif pour faire qqchose, il y a forcément une cause; ça dépend par quel bout on le prend! ;)
Si XXX a des motifs valables de congédier un distributeur, ce dernier dispose de 90 jours pour remédier à la situation. Sont valables, entre autres, les motifs suivants :
congédier ou annuler le contrat d'un distributeur, c'est selon.
il n'est pas nécessaire de mentionner au début les par. 1 à 3.
