Risks
Everyone at MyMicroInvest wants to be sure that our investors understand the risks involved when investing on our platform. We strive to include a balance of both risk and reward concepts in all of our messages and conversations about investment opportunities.
Most of our materials include a warning, like this one, “Investing carries serious risks, including partial or total loss of capital. Please read the Terms of Investment and the Risk factors before investing.”
A different asset class
Investing is always risky. It is important to remember that we offer access to a new and different type of asset class, which was previously available only to professional investors. Investing in an early-stage business, whether it is a startup or scaleup, micro-enterprise or SME, are all more risky investments than the stock market, and can take longer to mature.
Never invest more than you can afford to lose.
Loss of investment or tax relief
The majority of start-up businesses fail or do not scale as planned. It is possible that you may lose all or part of your investment. If a company you have invested in declares bankruptcy, it does not usually have funds available to repay debts or shareholders. According to law, the shareholders are the last to be reimbursed, after debtors and other parties. If that happens, MyMicroInvest is not responsible to pay you back for your investment. We explain some ways to mitigate this risk below.
Under the Belgian startup tax shelter programme, (LINK to MMI page) investors that pay income tax in Belgium may qualify for a tax reduction of 30-45% of their investment. MyMicroInvest has carefully examined all tax shelter investment opportunities and presents them in a transparent manner. However, the tax relief depends on the individual circumstances of each investor and is not guaranteed.
The startup tax shelter programme has a number of conditions to comply with to ensure the full benefit of your tax reduction, including:
Time: you must keep your Notes for at least four years. Similarly, MMIF cannot sell the participation of the company during the 4 year period.
Objective: the company you invested in cannot change their business. It cannot later become an investment firm, financing enterprise or treasury company; or a management company; or a real estate company.
Use of funds: the company cannot use the funds raise to distribute as dividends to acquire shares or to issue loans.
If these conditions are not met, the investor may be obliged to refund a portion of their tax reduction received, pro-rata according to the remaining time of the 4 year period.
If you are in any doubt about the availability of any tax relief, or the tax treatment of your investment, you should obtain independent tax advice before proceeding with your investment.
Lack of liquidity
Liquidity means the ability to quickly buy or sell an asset or security.
Investing through MyMicroInvest is illiquid, as we don't organise a secondary market where Notes can be sold. Investors can sell their Notes at any time if they can find a buyer privately.
Investors can have a return on their Notes under certain circumstances including: the business is sold, or the business floats on a stock exchange, the shares in the company held by MMIF are bought.
The time to mature differs depending on the business, but it is typically projected around 5 to 8 years from the initial investment. That means you won’t be able to recover your investment, or expect any returns for 5-8 years.
Absence of dividends
Dividends are payments made by a business to its shareholders from the company’s profits.
Investing in equity does not involve a regular return on your investment like bonds or public stock which offers dividends paid regularly. Any profits generated from the companies on our platform are typically re-invested back into the business to grow and scale the business.
A business has no obligation to pay any dividends to shareholders.
Dilution
Dilution occurs when a company issues more shares. Any investment made on MyMicroInvest may be subject to dilution in the future. This means that if the business raises additional capital at a later date, it will issue new shares to the new investors, and the percentage of the business that you own will decrease. This does not mean your investment is making a loss, as the value of the company will likely increase as well.
Dilution affects every existing shareholder (or Noteholder) who does not buy any of the new shares being issued. MyMicroInvest will inform all Noteholders if their investments are subject to dilution.
Mitigating the Risks
Investing is always risky, but by taking certain precautions you can help to mitigate your risks. Below we’ve described some of the actions MyMicroInvest has taken to help protect our crowd of investors, and some of our recommendations for our investors to take to mitigate their own risks.
MMIF
Investors who invest through our platform are not becoming direct shareholders. Rather, investors hold participatory Notes from MyMicroInvest Finance (MMIF) which represent their crowdfunded investment in the company. All the operational activities, including our team costs, are conducted in “MyMicroInvest SA”, which is kept separate from the investment funding.
MMIF is a financial vehicle with the sole activity to hold investment or participation in companies. MMIF serves as a single representative of crowdfunding investors, which simplifies administrative actions such as verifying the investment at the notary. Through MMIF the crowd has reduced burdens compared to shareholders, and collectively a stronger voice than an individual holder of a small number of shares. Although, this also means you have no individual voting rights in the company. Whenever an important decision needs to be taken concerning your investment, we will organise a general assembly of all the crowd investors to decide.
MMIF has a special structure, ensuring that each company on the crowdfunding platform is isolated from bankruptcy. If one business goes bankrupt, it is restricted only to the compartment linked to that business.
The MMIF structure avoids a domino effect because it is “bankruptcy remote”. This structure ensures there are no creditors of MMIF other than the investors of the concerned compartments and, eventually the Belgian government. In any case, MyMicroInvest guarantees all the potential debts of MMIF.
The accounts of MMIF are audited by external audit firm Ernst & Young. MMIF is also subscribed to responsibility insurance (“assurance responsabilité”)
Responsibilities for Investors
MyMicroInvest invites the crowd to empower entrepreneurs through funding on our crowdfunding platform.
Our investors have a responsibility to inform themselves about the investments they choose to make, and carefully consider their risk tolerance before making any investments. Although we have tried to make a good summary on this page, you should always read the Terms of Investment in full as well as the details of each investment opportunity before making an investment.
Understand your investments
Early-stage companies, including start-ups and scale-ups, face a competitive market.
New businesses face uncertain conditions, often in a new industry to market without a proven track record.
Attend General Meetings
It is in the interest of anyone who has purchased Notes to attend the general meetings of Noteholders. Meetings are exceptional and infrequent, typically to discuss important resolutions, for example: deciding on amendments to the Terms & Conditions of the Notes, deciding to sell shares, or deciding to amend the provisions affecting the transferability of shares.
Diversify
Any investment has a risk of 100% loss. For this reason, we highly recommended that you diversify your investment portfolio. Diversification means that you spread your investments in many different types of companies, including companies in differing stages, and different industries. We suggest your investments in one asset class should be spread over 10 to 20 investments. In a healthy diversified portfolio, the loss felt from some investment(s) can be balanced by the gains made on other, more successful ones.
Rewards for Investors
To win you have to play. But it’s important to play by the rules, including the rule to diversify your investments in a variety of ways.
Typically, the venture capital industry uses following statistics. On average, a start-up has a 30-40% failure rate, which would mean that an investor in the startup could lose all of their money invested in the company. The “survival” rate for new businesses is 40-50%, but where the company has no return on investment. This means that the investor will either have a small return or a small loss. Around 10-20% of companies succeed with a financial gain, meaning there is a return on investment, as the company gets acquired or goes public on the stock market. If you diversify and invest in many different types of companies (typically more than 10), the wins of the 10-20% may counterbalances losses and provide you with a decent return on your portfolio.
Tax Shelter
One programme to consider is the tax shelter for startups (link to page). This programme qualifies some startups to allow investors to claim a tax reduction of 30% or 45% of their investment back in their tax declaration. This is one way of mitigating your risk, by attempting to gain a tax reduction to counterbalance your invested capital. Certain conditions apply, and therefore certain risks, as mentioned above.

Investeren in een bedrijf dat in een vroeg stadium is, of het nu een start-up, scale-up, micro-enterprise of SME is, blijft altijd riskanter dan investeren in de aandelenmarkt en het kan langer duren om te volgroeien.
Investeer nooit meer dan u kunt missen.
Verlies van investering of belastingverlaging
De meerderheid van start-up bedrijven falen of groeien niet zoals gepland. Het is mogelijk dat u alles, of een deel van uw investering kunt verliezen. Als een bedrijf waarin u heeft geïnvesteerd failliet gaat, is het ongebruikelijk dat het bedrijf eigen vermogen over heeft om schulden of aandeelhouders terug te betalen. Volgens de wet zijn de aandeelhouders de laatsten die worden terugbetaald, na debiteuren en andere partijen. Als dit gebeurd, is MyMicroInvest niet verantwoordelijk om u terug te betalen voor uw investering. We zullen een aantal methoden benoemen die ervoor zullen zorgen om het risico zo laag mogelijk te houden.
Volgens het Belgische startup tax shelter programma, (Link naar MMI pagina), hebben investeerders die inkomstenbelasting in België betalen, de mogelijkheid om een belastingverlaging van 30-45% over hun investering te krijgen.
MyMicroInvest heeft zorgvuldig alle tax shelter investeringskansen onderzocht en zal dezen in een transparante manier benoemen. Ondanks dit, ligt de exacte belastingverlaging aan de individuele omstandigheden van de investeerder en is niet gegarandeerd.
Het startup tax shelter programma heeft een aantal voorwaarden waaraan de individu moet voldoen om volledig gebruik te mogen maken van deze belastingverlaging, waaronder:
Tijd: U moet uw administratie voor ten minste vier jaar bewaren. Het MMIF mag de participatie van het bedrijf gedurende deze periode van vier jaar niet verkopen.
Doelstelling: Het bedrijf waarin u heeft geïnvesteerd mag hun bedrijf niet wijzigen. Het mag in de toekomst geen investerings firma, financierings enterprice, treasury bedrijf, management bedrijf of vastgoed bedrijf worden.
Gebruik van geldmiddelen: Het bedrijf mag zijn financiën niet gebruiken om te verdelen als dividenden om aandelen te verkrijgen of leningen te verstrekken.
Als er niet aan deze voorwaarden word voldaan, zal de investeerder de verplichting hebben om een deel van de belastingvermindering terug te betalen, pro rata de overgebleven tijd van deze periode van 4 jaar.
Als u enige twijfel heeft of u aanspraak op belastingverlaging of belasting over uw investering kunt maken, zou u een onpartijdige belastingadviseur kunnen raadplegen voordat u verder gaat met uw investering.
Gebrek aan liquiditeit
Liquiditeit betekend: de mogelijkheid om in korte tijd activa of effecten te kopen of verkopen.
Investeren via MyMicroInvest is niet-liquide, doordat wij geen secundaire markt hebben waar effecten kunnen worden verkocht. Investeerders kunnen hun effecten op elk gegeven moment doorverkopen, mits deze (in het privé) een koper kan vinden.
Investeerders hebben de mogelijkheid om hun effecten onder specifieke omstandigheden te retourneren, waaronder: wanneer het bedrijf wordt verkocht, of het bedrijf op de aandelenmarkt drijft, of de aandelen in het bedrijf dat door MMIF vast worden gehouden gekocht worden.
De periode wanneer een bedrijf volgroeid is, ligt aan het bedrijf, maar over het algemeen is dit tussen de 5 en 8 jaar na de eerste investering. Dit betekend dat het niet meer mogelijk is om uw investering terug te vorderen of financieel rendement te zien binnen 5 tot 8 jaar.
Gebrek aan dividend
Dividenden zijn betalingen gemaakt door een bedrijf aan zijn aandeelhouders, bestaande uit de winsten van dit bedrijf.
Investeringen in vermogen omvat geen standaard rendement op uw investering, zoals bij obligaties of publieke aandelen die deze betreffende dividenden wel standaard uitbetalen. Alle winsten van bedrijven op ons platform worden over het algemeen direct weer in het bedrijf geinvesteerd, om zo het bedrijf te laten groeien.
Een bedrijf heeft geen verplichting om dividenden aan aandeelhouders uit te keren.
Verwatering
Verwatering is een fenomeen dat optreedt wanneer extra aandelen uitgegeven worden. Elke investering die op MyMicroInvest wordt gemaakt kan in de toekomst worden verwaterd. Dit betekend dat als het bedrijf kapitaal toevoegd, het bedrijf extra aandelen uitgeeft waardoor het percentage dat u van het bedrijf bezit verminderd.
Dit betekent niet dat uw investering verlies draait, aangezien de waarde van het bedrijf waarschijnlijk verhoogd wordt.
Verwatering beïnvloedt elk bestaand aandeelhouder die geen aandelen koopt die zojuist zijn uitgegeven. MyMicroInvest zal alle aandeelhouders informeren of hun investeringen gevaar lopen om verwaterd te worden.
De risico's verminderen
Investeren is altijd riskant, maar door bepaalde voorzorgsmaatregelen te nemen, kunnen dit de risico's verminderen. Hieronder hebben we een aantal voorzorgsmaatregelen beschreven die MyMicroInvest genomen heeft om onze investeerders te beschermen, en een aantal van onze aanbevelingen voor onze investeerders om hun eigen risico's te verminderen.
MMIF
Investeerders die via ons platform investeren, worden niet gelijk aandeelhouders, maar deze investeerders participeren met effecten van MyMicroInvest Finance (MMIF). Dit representateerd hun crowdfunded investering in het bedrijf. Alle operationele activiteiten, inclusief de kosten van ons team, worden uitgevoerd in "MyMicroInvest SA", die apart wordt gehouden van de investment funding.
MMIF is een financieel voertuig met als enige activiteit om uw investering of participatie in bedrijven vast te houden. MMIF fungeert als een invididuele vertegenwoordiger voor crowdfunding investeerders, wat administratieve acties simplificeert, zoals het verifiëren van de investeringen bij de notaris. Door MMIF zijn de lasten bij het publiek verminderd, vergeleken met aandeelhouders en hebben hierbij collectief een sterkere stem dan een individuele aandeelhouder.
Dit betekend wel dat de individu geen stemrecht meer heeft in het bedrijf.
Wanneer een belangrijke beslissing moet worden gemaakt gerelateerd aan uw investering, zullen wij een bijeenkomst organiseren van alle publieke investeerders om deze beslissing te maken.
Het MMIF heeft een speciale structuur, die garandeerd dat elk bedrijf op het crowdfunding platform geen risico loopt om failliet te gaan. Als één bedrijf failiet gaat, is het niet meer toegestaan in deze afdeling.
De MMIF structuur vermijdt een domino effect doordat het 'bankrupcy remote' is. Deze structuur zorgt ervoor dat er geen crediteuren van MMIF zijn, behalve de investeerders en mogelijk de Belgische overheid. In deze gevallen, staat MyMicroInvest garant voor alle potentiële schulden van MMIF.
De rekeningen van MMIF worden gecontroleerd door extern audit bedrijf Ernst & Young. MMIF is ook geregistreerd bij de verantwoordelijkheidsverzekering ("Assurance responsabilité")
Verantwoordelijkheid voor investeerders
MyMicroInvest nodigt het publiek uit om entrepreneurs te versterken door middel van financiering op ons crowdfunding platform.
Onze investeerders hebben een verantwoordelijkheid om zichzelf te informeren over de investeringen die zij gemaakt hebben en om zeker van hun risicotolerantie te zijn, voordat zij beginnen met investeren. Ondanks dat wij een goede samenvatting op deze pagina hebben gemaakt, zou u altijd de 'Terms of Investment' geheel moeten doorlezen, net als de details van elke investeringskans die u tegenkomt, voordat u investeert.
Begrijp uw investering
Beginnende bedrijven, zoals start-ups en scale-ups, zien een concurrerende markt tegemoet. Nieuwe bedrijven vallen onder onzekere voorwaarden, vaak in een nieuwe industrie zonder voorgaande ervaring.
Woon vergaderingen bij
Het is in iedereens interesse, wie effecten heeft gekocht, om vergaderingen bij te wonen van aandeelhouders. Diversiteit
Elke investering heeft een 100% risico om verloren te gaan. Om deze reden, raden wij aan dat u diversiteit in uw portfolio aanbrengt. Diversiteit betekend dat u uw investeringen verspreidt in verscheidene bedrijven, in bedrijven die in een andere periode van hun bedrijfslevenloop zitten of in een andere industrie zit.
