English to Arabic Bus/Financial Business/Commerce (general)

Conditions for exemption
• Investors/promoters are not the subjects who, directly or indirectly, already control the target (i.e. the transaction occurs between independent subjects)
• The funding is not granted by the partner but by a bank, it is functional to acquire the target and its sustainability is acknowledged by the information requirements of art. 2501-bis c.c.
• Interest payable and losses are only those related to the funding obtained by the SPV in order to put the leveraged buy-out operation in place.
• Fees charged by foreign investors to the SPV or to the target are inherent (that is, they are related to services of interest for the SPV or the target) and at market values.
